Chairperson -
The Chairperson shall exercise general supervision
over the affairs of the Corporation. He/she will
deliver the Annual Report of the Board of Directors
at the annual meeting of the membership of the
Corporation. He/she shall be the Chief Executive
Officer of the Corporation and shall have all of the
powers and duties usually exercised by any incident
to the office of the Chairperson. Unless he/she is a
regular member thereof, he/she shall be an
ex-officer member of all committees created by
resolution of the Board of Directors. He/she shall
perform such other and further duties as shall from
time to time be delegated to him by the Board of
Directors.
Vice Chairperson
- In the event of the absence or incapacity of the
Chairperson, the Vice-Chairperson shall have an
exercise all powers and duties of the Chairperson.
Chief
Administrative Officer - The Chief
Administrative Officer shall be the secretary of the
Corporation. It shall be the duty of the Secretary
(a) to keep or cause to be kept at the principal
officer of the Corporation a membership book,
containing the name and address of each member, and
a copy of the Articles of Incorporation and of these
By-Laws: (b) to keep or cause to be kept at the
principal office of the Corporation an original or
duplicate record of the proceedings of the members
of the Board of Directors and of any committees
appointed by the Board of Directors; (c) to be
custodian of the corporate records and of the seal
of the Corporation and to see that the seal is
affixed to such documents as may be necessary or
advisable; (d) to be custodian of the contracts,
policies, leases, deeds and other indician or title,
and all other original and corporate business
records of the Corporation (except tax matters,
financial documents and accounting records); and (e)
to perform all duties incident to the function of
the Secretary and such other duties as may from time
to time be prescribed by the Executive Committee.
Treasurer -
The Treasurer shall be the financial and accounting
officer of the Corporation. It shall be the duty of
the Treasurer (a) to be the principal officer in
charge of tax and financial matters and of the
accounting department of the Corporation; (b) to
have charge and custody of and be responsible for
the corporate funds; (c) to keep or cause to be kept
appropriate, complete and accurate books or records
of account of all the business and transactions of
the Corporation; (d) to render to the Chairperson
and the Board of Directors, whenever they may
require it, an account of all his transactions as
Treasurer and a report as to the financial position
and operations of the Corporation; and (e) to
perform all duties incident to the office of
treasurer and such other duties as may from time to
time be prescribed by the Board or by the Chairman.
All books or records kept by the Treasurer shall be
open at all times for inspection by the Board of
Directors.
